These Merchant Terms & Conditions (“Terms”) govern your partnership with J-Spot (“J-Spot,” “we,” “us”) and your use of our marketing and promotional services (“Services”). By registering as a merchant, venue, or partner (“Merchant,” “you”) on the J-Spot platform, you agree to be bound by these Terms.
1. The J-Spot Services J-Spot provides a platform to promote your business to our community of users (“JSpotters”). Based on the service package you select, our Services may include: Hosted Interactive Events, “Spotlight” Deal creation and promotion, Community Marketing across our digital platforms, and Featured Content creation like photos and blog articles. The specifics of your selected service package will be outlined in a separate order form or agreement.
2. Merchant Obligations As a J-Spot Merchant, you agree to:
- Honor All Offers: You will honor all “Spotlight” deals and offers presented by JSpotters according to the terms of the promotion.
- Provide a Safe Environment: You will maintain a safe, clean, and welcoming environment for all customers and J-Spot staff.
- Maintain Accurate Information: You are responsible for ensuring that all information provided to us about your business, including menus, hours, and contact information, is accurate and up-to-date.
3. Fees and Payment You agree to pay all fees associated with your selected service package in a timely manner. The specific fees, payment schedule, and any applicable commission or revenue-sharing details will be set forth in a separate invoice or order form. All fees are non-refundable except as expressly stated otherwise.
4. Marketing & Intellectual Property You grant J-Spot a non-exclusive, royalty-free, worldwide license to use your business name, logos, trademarks, and any photos or content you provide (“Brand Assets”) in connection with the promotion of your business and the J-Spot platform. We may use your Brand Assets in any and all media, including on our website, social media channels, and in print materials.
5. Term and Termination These Terms will remain in effect as long as you use our Services. Either party may terminate the partnership upon thirty (30) days written notice. J-Spot may suspend or terminate your access to the Services immediately and without notice for any breach of these Terms.
6. Representations and Warranties You represent and warrant that you have the full authority to enter into these Terms, that all information you provide is accurate, and that you will comply with all applicable laws and regulations in the operation of your business and the redemption of any “Spotlight” deals.
7. Disclaimers and Limitation of Liability The Services are provided “AS IS.” J-Spot does not guarantee any specific results, including any particular amount of revenue or customer traffic. To the fullest extent permitted by law, J-Spot shall not be liable for any indirect, incidental, special, or consequential damages arising from our partnership.
8. Governing Law These Terms shall be governed by the laws of the State of North Carolina. Any disputes arising from these Terms shall be handled exclusively in the state or federal courts located in Guilford County, North Carolina.
9. Changes to Terms We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on our website and updating the “Last Updated” date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
